About Us
The Law & Business Clinic provides free legal services in a variety of business law matters to entrepreneurs and small businesses that cannot afford to retain a lawyer. If you are a current Toronto Metropolitan University student, Chang School learner or affiliated with one of the university's learning zones (such as the DMZ), and plan to start up a business or have started a small business, you may be eligible for this program. Clients outside of Toronto Metropolitan University may be eligible subject to assessment.
Legal services will be provided to selected applicants on an ongoing basis throughout the academic year (September to April) by a team of qualified lawyers from various Bay St. law firms, who will work in tandem with Law and Business students. To facilitate an engaging and participatory learning experience, students will draft client work products and conduct legal research under the direction and supervision of qualified lawyers.
Legal services may include:
- Information on and assistance with organizing the business (e.g. incorporating)
- Drafting and review of shareholders, partnership and joint venture agreements
- Drafting and review of forms of release, non-disclosure, non-competition and employment agreements
- IP issues such as protecting your business name, trade-marks and copyright
- Drafting and review of consumer or supplier contracts
- Registration and licensing matters
- Basic tax issues
- Regulatory compliance
Please note that:
- The Clinic does not provide any litigation services.
- All student work is directed, reviewed and approved by qualified lawyers.
- The services are provided free of charge. However, the client is responsible for any associated costs (e.g. registration or licensing fees).
- Since the Clinic facilitates a learning opportunity for Law & Business students, our services may be interrupted - especially between semesters and during examination periods.
